These terms cover two things: using this website, and engaging Eridient for website modernization or website care. Where we sign a separate written agreement or proposal with you, that document takes precedence over anything here that conflicts with it.

Using this website

You are welcome to read, link to and share this site. You may not scrape it at a scale that burdens the service, attempt to break its security, or copy its design, code or written content to pass off as your own.

Everything on this site is provided for general information. We keep it accurate and current, but we do not warrant that it is complete or error-free, and nothing here is a professional recommendation for your particular situation.

The free website audit

The audit is a no-obligation review offered as a starting point for a conversation. It reflects what we can observe about a website at the time we look at it. It is not a legal compliance assessment, a security penetration test, or a guarantee of search rankings, traffic or sales. Acting on it is your decision.

Request an audit only for a website you own or are authorised to act for.

Quotes, scope and price

Published prices are starting prices in US dollars and exclude any applicable VAT or sales tax. Website modernization starts at $2,999 per project; what you actually pay depends on the agreed scope and complexity of the existing website. Optional website care is $199 per month.

Before work begins we give you a written proposal setting out the scope, the price and the delivery window. That price is fixed for that scope. A quote is valid for 30 days unless it says otherwise, and a project is booked when you accept the proposal in writing and the deposit is paid.

Changes to scope

If you ask for work outside the agreed scope, we will tell you what it costs and what it does to the timeline before we start it. We will not do out-of-scope work and invoice you for it as a surprise. Equally, we are not obliged to absorb it.

What we need from you

Projects move quickly because decisions and materials arrive quickly. You agree to provide:

• content, images, logos and brand assets in usable form;
• access to the existing website, domain, hosting and any accounts we need;
• a named person who can give feedback and sign off;
• responses to review requests within a reasonable time.

You confirm you own or have licence to everything you give us, and that we may use it for the project. Delivery dates assume this cooperation; where a delay is caused by material we are waiting on, the timeline moves accordingly.

Payment

A deposit of [DEPOSIT %] is payable before project work starts, with the balance due on completion unless the proposal sets out different milestones. Invoices are payable within [PAYMENT TERM IN DAYS] days.

We may pause work on overdue accounts, and statutory interest on late payment may apply. Third-party costs such as domains, hosting, fonts, stock imagery and paid services are yours, whether we buy them on your behalf or you buy them directly.

Website care plans

Website care is billed monthly in advance. Exact inclusions and infrastructure allowances are set in the plan and may include managed hosting, monitoring, technical checks, updates, backups, priority support and website changes.

Where the plan includes website changes, the monthly allowance is stated in writing. Unused hours do not roll over. Work beyond the included allowance is quoted separately before we do it. You can pause or cancel a plan at any time, effective at the end of the month you have paid for; we do not refund part-months, and we do not lock you into a minimum term.

Ownership of the work

When you have paid in full, you own the final deliverables produced specifically for you: the design, the page templates and the custom code written for your project.

We keep ownership of the general tools, libraries, components and methods we use across engagements, and of any concepts you did not select. Nothing here transfers rights in third-party materials — fonts, stock imagery, open-source libraries and paid services stay subject to their own licences, which you are responsible for maintaining.

Unless you ask us in writing not to, we may show the finished work and describe our role in it in our portfolio and marketing.

Warranties and what we do not promise

We will perform our work with reasonable skill and care, to a professional standard. For 30 days after launch we will fix defects in what we built at no charge.

That does not cover changes you or a third party make afterwards, faults in third-party services, or new requirements. Beyond that, and to the fullest extent the law allows, our services are provided without further warranties of any kind.

We make no guarantee about search engine rankings, traffic, conversion rates, revenue or any other commercial outcome, because those depend on factors outside our control. Performance figures we publish describe a website at the time it was measured and are not a promise of future results. We help build websites that meet recognized accessibility and technical standards, but we do not provide legal advice, and we do not certify legal compliance in any jurisdiction.

Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business, loss of goodwill or loss of data, and our total liability arising out of an engagement is limited to the fees you paid us for that engagement in the 12 months before the claim arose.

Confidentiality

Each of us will keep the other's non-public business information confidential and use it only for the engagement. This does not apply to information that is already public, that we knew before you disclosed it, or that we are legally required to disclose.

Ending an engagement

Either of us may end a project in writing. If you end it, you pay for work completed and for commitments we have already made on your behalf; any deposit covering that work is not refunded. If we end it other than for your breach or non-payment, we refund amounts you have paid for work not yet done. On termination we hand over the completed work you have paid for.

Personal data

How we handle personal data is set out in our privacy policy. Where we process personal data on your behalf as part of an engagement, we will put a data processing agreement in place if you need one.

Governing law

These terms are governed by the law of [COUNTRY / STATE WHOSE LAW GOVERNS], and disputes are subject to the exclusive jurisdiction of its courts. If you are a consumer rather than a business, this does not deprive you of protections available under the mandatory law of the country where you live.

Changes to these terms

We may update these terms, and the version published here at the time you accept a proposal is the version that applies to that engagement. Changes do not alter terms already agreed for work in progress.
